Affiliate Program Terms & Conditions

2.1 Affiliate Program:

The referral program operated by Instant-UGC allowing Affiliates to promote our services in exchange for commissions.

2.2 Affiliate Link:

Unique URL provided to the Affiliate to track referrals and conversions.

2.3 Qualified Referral:

A new customer who:

• Signs up for Instant-UGC through your affiliate link
• Becomes a paying customer (monthly or annual subscription)
• Was not an existing Instant-UGC customer
• Completes the free trial period (if applicable)
• Does not use fraudulent payment methods

2.4 Commission:

The compensation paid to the Affiliate for a Qualified Referral according to the structure defined in Article 5.

2.5 Cookie:

Tracking technology that attributes a referral to an Affiliate for a specified period.

3.1 Eligibility

To become an Affiliate, you must:

• Be at least 18 years old or the age of majority in your jurisdiction
• Have legal capacity to enter into contracts
• Own a website, blog, YouTube channel, social media account, or other promotional platform
• Comply with all applicable laws and regulations
• Not reside in a country subject to international sanctions

3.2 Application Process

Your application must include:

• Complete and accurate personal information
• Valid payment information (PayPal, bank transfer, etc.)
• Description of your promotional channels
• Intended promotional methods

3.3 Approval

• Instant-UGC reserves the right to approve or deny any application at its sole discretion
• Approval may take up to 5 business days
• We may request additional information before approval
• Approval may be revoked at any time if you violate these Terms

3.4 Prohibited Websites and Content

We reserve the right to deny affiliations with sites containing:

• Illegal, violent, hateful, discriminatory, or offensive content
• Promotion of illegal drugs, weapons, tobacco, or adult products
• Violation of intellectual property rights
• Spam, malware, or fraudulent content
• Misinformation or deceptive practices

4.1 Authorized Promotion

You may promote Instant-UGC through:

• ✅ Blog articles and editorial content
• ✅ YouTube videos and video content
• ✅ Social media posts (Instagram, TikTok, Twitter, LinkedIn, Facebook)
• ✅ Newsletters and email campaigns to your existing list
• ✅ Podcasts and webinars
• ✅ Product comparisons and reviews

4.2 PROHIBITED Promotion Methods

• ❌ Brand Bidding: You MAY NOT bid on "Instant-UGC", "Instant UGC" or any variation in Google Ads, Bing Ads, Facebook Ads, or other advertising platforms
• ❌ Spam: Sending unsolicited emails, comment spam, or any spam practices
• ❌ Typosquatting: Registering domain names similar to instant-ugc.com
• ❌ Cookie Stuffing: Fraudulent placement of cookies without user action
• ❌ Cashback/Incentive Sites: Offering discounts or cashback on our products without prior written authorization
• ❌ Pop-ups/Pop-unders: Using deceptive or aggressive pop-ups
• ❌ Cloaking: Hiding the true destination of your links
• ❌ Auto-Redirect: Automatic redirection without user consent
• ❌ Using our brand in domains: Registering domains containing "instantugc" or variations without authorization

4.3 FTC Compliance (Federal Trade Commission)

As an Affiliate operating in the United States or promoting to US audiences, you MUST:

✅ Disclosure Placement:

• BEFORE the affiliate link or CTA
• Visible without scrolling (above the fold)
• Readable font and sufficient contrast
• Simple and clear language, no legal jargon

4.4 Accurate Representations

You must:

• Present Instant-UGC honestly and accurately
• Not make false statements about our features
• Not guarantee specific unverifiable results
• Only use official marketing materials provided
• Not modify our logos, screenshots, or materials without authorization

4.5 Privacy Compliance

You must:

• Comply with GDPR, CCPA, and all data protection laws
• Never share or sell data of your referrals
• Have a compliant privacy policy on your site
• Obtain appropriate consent for cookies and tracking

5.1 Commission Rates

Earning Examples:

• Starter Customer: $14.70/month for as long as they remain subscribed
• Professional Customer: $44.70/month for as long as they remain subscribed

Important: Commission ceases if the customer cancels their subscription.

5.2 Qualified Conversions

A commission is generated only if:

• ✅ Customer completes signup with valid payment method
• ✅ Customer passes free trial period (7 days)
• ✅ Initial payment is approved and processed
• ✅ Customer has not requested refund within 30 days

5.3 Commission Exclusions

You will NOT receive commission for:

• ❌ Your own purchases (self-referrals)
• ❌ Existing Instant-UGC customers
• ❌ Instant-UGC employees or contractors
• ❌ Fraudulent transactions or chargebacks
• ❌ Customers using stolen cards or invalid payment methods
• ❌ Accounts created solely to obtain free trial with no purchase intent

6.1 Payment Schedule

• Commissions are calculated and paid monthly
• Payments are made between the 1st and 10th of the following month
• Example: January commissions = payment between February 1-10

6.2 Minimum Payment Threshold

• $50 USD minimum to trigger a payment
• If your balance is below $50, it rolls over to the next month
• No maximum earning limit

6.3 Payment Methods

Payment methods will be managed through our affiliate platform and may include PayPal, bank transfer, or other methods as specified in your affiliate dashboard.

7.1 Term

• This agreement takes effect upon your acceptance
• It remains valid until terminated by either party

7.2 Termination by Affiliate

You may terminate at any time:

• By contacting us via email: contact@automise.fr
• 15 days notice to receive pending commissions
• Due commissions will be paid according to normal schedule

7.3 Termination by Instant-UGC

We may terminate your participation immediately and without notice if:

• ❌ You violate these Terms and Conditions
• ❌ You engage in fraudulent or deceptive practices
• ❌ You violate applicable laws (FTC, GDPR, etc.)
• ❌ You use prohibited promotional methods
• ❌ You damage our reputation or brand
• ❌ You create inappropriate or offensive content
• ❌ Your account is inactive for more than 12 consecutive months

8.1 Limited License

We grant you a non-exclusive, revocable, and limited license to:

• Use our trade name "Instant-UGC"
• Display our logos and trademarks (per our guidelines)
• Use our screenshots and marketing materials provided
• Create promotional content compliant with these Terms

8.2 Restrictions

You may NOT:

• ❌ Modify, alter, or create derivative works of our brands
• ❌ Register trademarks containing "Instant-UGC"
• ❌ Register domain names containing our brand
• ❌ Suggest official partnership or sponsorship without written authorization
• ❌ Use our brands in a manner that harms our reputation

9.1 Relationship of Parties

• You are an independent contractor, not an employee, agent, or partner of Instant-UGC
• You have no authority to bind Instant-UGC or create obligations on its behalf
• You are responsible for your own taxes, insurance, and legal obligations

9.2 Governing Law and Jurisdiction

• These Terms are governed by the laws of the State of Delaware, United States
• Any dispute shall be submitted to the competent courts of Delaware
